Accounting Treatment & Separation Protocols: Stipends, Upskilling Scholarships, and Executive Transition
TO: Chief Financial Officer / Board Secretary

DATE: September 27, 2026
SUBJECT: Financial, Tax, and Grant Accounting Framework for Trainee Stipends, Upskilling Scholarships, and Executive Compensation Phase-In
As our organization scales through its early operational phases, personnel and participants will transition across three distinct tiers: (1) Initial Training Stipends, (2) Advanced Upskilling/Certifications, and (3) Full-Time Executive Employment. To ensure complete audit readiness, IRS compliance (avoiding employee/independent contractor misclassification and stipend-to-wage leakage), and institutional grant compliance, this memorandum establishes the mandatory General Ledger (GL) segregation and governance rules.
| Operational Tier | Primary Mechanism | GL / Budget Category | IRS / Tax Treatment | Grant Compliance Rule |
|---|---|---|---|---|
| Tier 1: Basic Training & Field Support | Training MOU & Living Stipend ($1,100/mo cap) | Participant Support Costs / Stipends | Reported as non-wage living support (Form 1099-NEC/Misc or exempt tracking per IRS guidelines) | Must be mapped exclusively to "Participant Support" line items. Prohibited from mixing with admin overhead. |
| Tier 2: Advanced Upskilling & Licensing | Dedicated Educational Scholarship / Vendor Contract | Professional Development / Training Grants | Tax-free educational assistance or direct vendor payment for professional credentials (CDL, licenses) | Restricted to dedicated training grants or line-item budget modifications. Requires a Service Commitment Agreement. |
| Tier 3: Executive Leadership | Employment Agreement & Board Resolution | Administrative Overhead / Executive Compensation | Standard W-2 payroll withholding, subject to annual cap ($78,000) and 90-day reserve waterline | Deferred until liquidity benchmarks are met; catch-up draws restricted to surplus cash flow and annual caps. |
